User Terms and Conditions

These terms and conditions govern the relationship between Union Pacific Railroad Company (“Union Pacific) and any registered customer user (“You” or “Customer”) with respect to the use of the MyUPRR website. By registering for a MyUPRR User ID, you acknowledge that you have read, understand and agree to the terms and conditions outlined below.

Information provided in the registration process is used by Union Pacific for internal purposes to ensure secure services within the MyUPRR system.

By registering, you agree that (i) you are a Union Pacific customer or an agent or employee of a Union Pacific customer who is over the age of 18; (ii) you are authorized to access the MyUPRR system; and (ii) have the proper authority and/or authorization to transact business with Union Pacific.

You agree to take all reasonable steps to protect confidential information, including prices and service offerings and will not disclose Union Pacific’s information to unauthorized individuals.

You agree to keep the assigned user ID and password confidential. Union Pacific's User ID Policy prohibits sharing User IDs or passwords with others in your organization or a third party. Each person needs a separate User ID. You agree to immediately notify Union Pacific if there is reason to believe the assigned user ID or password has been compromised.

Union Pacific will take reasonable steps to secure the confidentiality of your company’s information. However, there is still risk that the information may be compromised and you accept such risk and waive any claim or cause of action for losses or damages which in any way arises out of the unintentional disclosure of Customer’s confidential information. Customer agrees that the services and functions provided on the MyUPRR system and any accompanying software are provided on an “AS IS” AND “AS AVAILABLE” basis without warranties of any kind. UNION PACIFIC AND CUSTOMER EXPRESSLY AGREE THAT UNION PACIFIC HAS DISCLAIMED ALL EXPRESS AND IMPLIED WARRANTIES IN THE MYUPRR SYSTEM AND ACCOMPANYING SOFTWARE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE, NON-INFRINGEMENT OR THAT THE OPERATION OF THE MYUPRR SYSTEM WILL BE UNINTERRUPTED, ERROR FREE OR VIRUS FREE. UNION PACIFIC DOES NOT WARRANT THE ACCURACY, INTEGRITY OR COMPLETENESS OF THE CONTENT PROVIDED ON THE MYUPRR SYSTEM. UNION PACIFIC DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE MYUPRR SYSTEM. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE MYUPRR SYSTEM AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST UNION PACIFIC FOR DISSATISFACTION WITH THE MYUPRR SYSTEM OR ANY CONTENT IS TO STOP USING THE MYUPRR SYSTEM OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT WILL UNION PACIFIC BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS. IF UNION PACIFIC IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE MYUPRR SYSTEM, UNION PACIFIC’S LIABILITY SHALL IN NO EVENT EXCEED ONE THOUSAND DOLLARS. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY, SO THE FOREGOING LIMITATION MAY NOT APPLY TO YOU.

You understand that Union Pacific assumes no responsibility for claims, losses or damages whether direct or indirect, resulting from use of the MyUPRR system.

You agree not to download, copy, display, exhibit, share or otherwise distribute the contents of the MyUPRR system. Any unauthorized downloading, retransmission, republication or other copying of material posted on the MyUPRR system including trademarks, tradenames and service marks is prohibited. The trademarks, logos and service marks owned by Union Pacific, whether registered or unregistered, may not be used in connection with any product or service unless Union Pacific expressly grants such a right via a licensing agreement. Nothing contained on the MyUPRR system should be construed as granting, by implication, estoppel or otherwise, any license or right to use any trademark without the express written permission of Union Pacific, its licensors or suppliers, or the third party owner of any such trademark. Unauthorized usage of any trademark is prohibited, and Union Pacific will aggressively enforce its intellectual property rights including but not limited to judicial remedies.

Scrape or copy data and information of others through any means (including crawlers, browser plugins and add-ons, and any other technology or manual work) is strictly prohibited;

  • Copy or use the information, content or data of others available (except as expressly authorized);
  • Rent, lease, loan, trade, sell/re-sell access or any related information or data;
  • Share or disclose information of others without their express consent; and
  • Use manual or automated software, devices, scripts robots, other means or processes to access, “scrape,” “crawl” or “spider” the Services or any related data or information.

Tampering with the MyUPRR system, misrepresenting the identity of a user, or conducting fraudulent activities on the MyUPRR system are prohibited. Violations of system or network security may result in civil or criminal liability. Union Pacific will investigate occurrences and may involve, and cooperate with, law enforcement authorities in prosecuting the user or users who are involved in such violations. You are prohibited from violating or attempting to violate the security of the MyUPRR system, including, without limitation, the following: (i) accessing data not intended for such user or logging into a server or account which user is not authorized to access; (ii) attempting to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (iii) attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the MyUPRR system, overloading, “flooding,” “mailbombing,” or “crashing,” or sending unsolicited e-mail, including promotions and/or advertising of products or services, or (iv) forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.

You agree to defend, indemnify, and hold Union Pacific and its affiliates, and their respective directors, employees, agents, successors, and assigns harmless from and against any and all claims, damages, costs and expenses, including attorneys' fees, arising from or related to your use of the MyUPRR system, your violation of these terms and conditions or your misuse of the MyUPRR system.

Union Pacific reserves the right to limit or revoke your access to the MyUPRR system at any time. In addition, Union Pacific reserves the right to require you to delete, or remove any content that is used in a manner that in Union Pacific’s opinion is contrary to these terms and conditions.
You agree that Union Pacific may, at its discretion, amend or modify the MyUPRR system and/or these terms and conditions. Any such amendment or modification shall be communicated to you via the MyUPRR system. Your continued use of the MyUPRR system will constitute a binding acceptance of such amendments or changes.

As part of this process, your organization's name(s) and user name(s) may be visible to other Union Pacific customers and third parties who are also using Union Pacific systems.

You agree that all matters relating to your access to or use of the MyUPRR system, including all disputes, will be governed by the laws of the United States and by the laws of the State of Nebraska without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Douglas County, Nebraska, and waive any objection to such jurisdiction or venue.

Third-Party Companies
A third-party company, if doing business on behalf of another firm, must have a Letter of Authority (LOA) on file with Union Pacific. Third Party Customers named in these authorizations may only use proprietary information provided by Union Pacific Railroad until the expiration date of the LOA and only for purposes for the benefit of the Customer named in the LOA. Third Party Customers shall make no other use thereof, nor derive any other commercial benefit by sharing this data with other companies not named on this authorization.
